|TAL International Group Announces Pricing of Common Stock Offering|
PURCHASE, N.Y., Mar 31, 2011 (BUSINESS WIRE) -- TAL International Group, Inc. (the "Company") (NYSE: TAL) announced today the pricing of an underwritten public offering of an aggregate of 5,500,000 shares of its common stock at a price to the public of $36.00 per share. Of the total shares to be sold, the Company intends to sell 2,500,000 shares of common stock and certain stockholders of the Company intend to sell an aggregate of 3,000,000 shares of common stock. The selling stockholders have granted the underwriters an option for 30 days to purchase up to an aggregate of 825,000 additional shares of common stock to cover overallotments, if any. The closing of the offering is subject to customary closing conditions. The Company intends to use the proceeds from its sale of shares for general corporate purposes, including, but not limited to, purchasing containers and making other capital expenditures and for general working capital purposes. The Company will not receive any proceeds from the sale of shares by the selling stockholders.
BofA Merrill Lynch, J.P. Morgan and Wells Fargo Securities acted as joint book-running managers for the offering.
